PRICING INFORMATION

You agree that, to the extent permitted by applicable law, your sole and exclusive remedy for any problems or dissatisfaction with the Site is to stop using the Site.
Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, some of the above limitations may not apply to you. In such states or jurisdictions, Ruokamill’s liability shall be limited to the fullest extent permitted by law.

Ruokamill may, in its sole discretion, terminate or suspend your access to all or part of the Site for any reason, including without limitation, breach of these Terms of Use, or suspected fraudulent, abusive, or illegal activity. We may do so at any time, without prior notice, and such termination will result in the cancellation of any pending orders (with a refund if applicable) and denial of access to your account.
If we terminate your access to the Site, this Agreement will terminate as well, except for the provisions that are intended to survive termination (such as intellectual property rights, disclaimers of warranty, limitations of liability, and indemnification).
Upon any termination of the Terms of Use, whether by you or by us, you must promptly destroy all materials downloaded or obtained from the Site, as well as any copies of such materials. The termination of these Terms will not cancel any obligations you may have (for example, any payment obligations for orders already placed) or affect any liability that you may have incurred prior to termination.
INDEMNITY
You agree to indemnify, defend, and hold harmless Ruokamill (Nutra Dale Private Limited) and its affiliates, officers, directors, employees, agents, and partners from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) that may arise out of or relate to:
- Your use of the Site or services obtained through the Site;
- Any User Content you submit, post, or transmit through the Site (e.g., reviews, comments, etc.);
- Your violation of these Terms of Use or of any law or the rights of any third party;
- Any breach of the representations, warranties, and covenants made by you under these Terms of Use.
This indemnification obligation will survive the termination of these Terms of Use and your use of the Site. Ruokamill reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you (in which event you will cooperate with Ruokamill in asserting any available defences). You shall not settle any such claim or matter without the prior written consent of Ruokamill.
GOVERNING LAW AND JURISDICTION
These Terms of Use and all transactions entered into on or through the Site, as well as any disputes arising from or related to the Site, shall be governed by the laws of India, without regard to its conflict of law principles.
You agree that any dispute or claim arising out of or relating to your use of the Site or these Terms (including non-contractual disputes or claims) will be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India. You hereby irrevocably submit to the jurisdiction of such courts and waive any objections to the inconvenience of such forum.
If you are accessing the Site from a location outside India, you are responsible for compliance with local laws, if and to the extent local laws are applicable. Ruokamill makes no representation that the content or products on the Site are appropriate or available for use in other locations.
In the event of any dispute between you and Ruokamill, we encourage you to first contact us directly to seek a resolution by reaching out to our customer support or Grievance Officer. Many disputes can be resolved through our support team before resorting to legal action.
DISPUTE RESOLUTION (ARBITRATION)
For any disputes arising between you and Ruokamill, we may mutually agree to resolve the dispute through binding arbitration rather than in court, if both parties consent.
If a dispute arises out of these Terms of Use or your use of the Site that cannot be resolved amicably within a reasonable time, either party may refer the dispute to arbitration. The arbitration will be conducted by a sole arbitrator appointed by mutual consent of both you and Ruokamill. If we cannot agree on a sole arbitrator, then an arbitrator will be appointed in accordance with the Arbitration and Conciliation Act, 1996.
The arbitration proceedings shall be conducted in Gurugram, Haryana and the language of arbitration shall be English. The Arbitration & Conciliation Act, 1996 and its amendments shall govern the proceedings. The arbitrator’s award shall be final and binding on both parties.
Each party shall bear its own costs in the arbitration, but the parties shall share equally the fees of the arbitrator and the administering institution (if any), unless the arbitrator decides otherwise in the award.
Notwithstanding the above, Ruokamill reserves the right to seek interim or preliminary relief from a court of competent jurisdiction (for example, an injunction to protect intellectual property or to prevent misuse of the Site) before or during the arbitration proceedings.
SITE SECURITY
We take site security seriously. You are strictly prohibited from violating or attempting to violate the security of the Site, including but not limited to:
- Unauthorized Access: Accessing data not intended for you, or logging into a server or account which you are not authorized to access. You must not attempt to circumvent or hack any authentication mechanisms or security measures on our Site or related systems.
- Scanning and Testing: Probing, scanning, or testing the vulnerability of the Site or any network connected to the Site, or breaching security or authentication measures without proper authorization, is forbidden. Security-related testing of our systems is only permitted with our explicit written consent.
